Participant Liability Waiver And Image Release

Introduction and Acceptance of Waiver

This Participant Liability Waiver and Image Release ("Waiver") is entered into by the participant who indicates acceptance of this Waiver ("Participant", “I”, “me”, or “my”) and LineServices, Inc. dba LineLeap ("Event Organizer") in connection with the bar crawl event organized by the Event Organizer (“Event”). By selecting “I Accept”, I acknowledge that I have read this Waiver and agree to be bound by its terms.

Assumption of Risk

I am aware and understand that participating in the Event involves potential risks and dangers, including but not limited to physical injury, illness, death or financial or other loss associated with, among other things, consuming alcohol (including intoxication and impairment), the acts, omissions, or negligence of other participants and non-participants, slips, trips, and falls, broken glass or debris, crowding, theft, assault or other criminal acts of third parties, exposure to weather and environmental conditions, accidents or illness in areas without immediate medical facilities, conditions of premises and equipment at, to, from, or between multiple venues, and risks of traveling to, from, and between Venues (as defined below). I acknowledge that any injuries that I sustain may result from or be compounded by the actions, omissions, or negligence of the Event Organizer. Notwithstanding the risk, I (i) acknowledge that I am knowingly and voluntarily participating in the Event with the express understanding of the potential danger involved, (ii) expressly and unconditionally assume all risks associated with the Event whether known or unknown, inherent or otherwise whether caused by the negligence of the EventOrganizer or otherwise, and (iii) agree that I am solely responsible for my personal safety, conduct, and well-being, and for compliance with all local, state, and federal laws and regulations (“Applicable Laws”), rules, and instructions in connection with the Event. I further represent that I am physically able to participate and will not participate if unwell or impaired.

Furthermore, I agree that the Event Organizer, its officers, directors, employees, volunteers, and agents (collectively, “Event Staff”) do not and will not assume any duty to protect me from such risks beyond that imposed by law, and are not responsible, to the fullest extent permitted by Applicable Law, for any personal injuries, property damage, or other losses that I may incur arising out of or related to my participation in the Event. This assumption of risk is knowing, voluntary, and binding on me, my heirs, executors, administrators, and assigns.

Release of Liability

Inconsideration of being permitted to participate in the Event, I hereby forever release, waive, and discharge the (i) the Event Organizer; (ii) the Event Staff; (iii)other Event participants; (iv) Participating Venues and the owners, lessors, and operators of any locations used in connection with the Event; and (v) the foregoing persons’ and entities’ respective parents, subsidiaries, affiliates, sponsors, advertisers, promoters, insurers, and each of their respective owners, officers, directors, managers, employees, volunteers, contractors, agents, successors, and assigns (collectively, the "Event Parties") from and against any and all claims, demands, actions, causes of action, damages, losses, liabilities, costs, and expenses of any kind (including attorneys’ fees and costs)of any kind or nature, known or unknown, foreseen or unforeseen, suspected or unsuspected, in law or in equity (including for personal injury, illness, death, property damage or other financial loss) (collectively, “Claims”), arising out of, resulting from, or relating to my enrollment in, attendance at, travel toor from, or participation in the Event or any related activities, whether caused in whole orin part by the ordinary negligence of any of Event Party or otherwise, including without limitation negligent rescue operations, selection of or conditions at any Venue, and the acts or omissions of third parties. I agree not to make or bring any such Claim against the Event Organizer or any other Event Party.

This release of liability is intended to be as broad and inclusive as is permitted by Applicable Law and extends to any and all Claims arising from the ordinary negligence (active or passive) of the Event Parties, including, without limitation, negligent rescue operations, negligent hiring, training, supervision, or selection, premises liability, and any dangerous condition of property. To the fullest extent permitted by Applicable Law, I expressly waive any and all rights or benefits that might otherwise limit the scope of this release, whether arising under statute or common law (including any law similar to California Civil Code § 1542 which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party”). This waiver and release does not extend to Claims that Applicable Law does not permit to be released by agreement, including, as applicable, claims for gross negligence or willful misconduct. This release is separate from, and in addition to, my indemnification obligations below.

Indemnification

I agree to indemnify, defend, and hold harmless the Event Parties from and against any and all Claims arising out of, related to, or in connection with: (a) the Event including my enrollment in, attendance at, travel to or from, or participation in the Event; (b) my breach of this Waiver or violation of any Applicable Laws, rules, or Venue Rules (as defined below);(c) my consumption of alcohol or other substances; or (d) my acts or omissions including any claims brought by me or on my behalf, by my guests, heirs, estate, or insurers (including by way of subrogation). This indemnity applies to claims brought by me, on my behalf, or by any third party (including any insurer or other subrogee), whether or not alleged to be caused in whole or in part by the ordinary negligence of any Event Party; provided, however, that this indemnity shall not apply to the extent finally determined to be caused by the gross negligence or willful misconduct of an Event Party, to the extent such limitation is not permitted by Applicable Law.

This indemnification obligation is independent of any insurance available to me or to any Event Party, applies to both first-party and third-party claims, and will survive the termination or conclusion of theEvent and my participation therein to the fullest extent permitted by law.

Image Release

By participating in the Event, I hereby grant to the EventOrganizer, its successors, assigns, and licensees, the irrevocable right and permission to record, use, publish, stream, sell, and distribute any photographs, video recordings, or any other visual or audio portrayals of me made during the Event, in any medium or context without further authorization or compensation. This includes, but is not limited to, promotional materials, live broadcasts, webcasts, recordings, displays, advertisements, and any other publications or media, for any purpose whatsoever related to the Event or theEvent Organizer.

I acknowledge and agree that I have no rights to the images, sounds, or recordings, and all rights to such materials belong to the Event Organizer. I release the Event Organizer and the Event Parties from any and all Claims arising out of or in connection with the use or distribution of said photographs, video recordings, or other portrayals, including but not limited to any claims for invasion of privacy, appropriation of likeness, or defamation.

Public Spaces and Venue Rules

I acknowledge and agree that the Event makes use of public spaces and other areas open to the public, including, but not limited to roadways, sidewalks, and parks (“Public Spaces”). Public Spaces are subject to Applicable Laws, potentially including traffic and pedestrian laws and laws related to the open carry of alcohol or public intoxication. Public Spaces may also have their own rules, restrictions, and requirements (“Rules”).I agree to comply with all Applicable Laws and Rules, and to comply with and obey any instructions or directions from any public safety officer, security personnel, or any other person with authority related to such Public Space. I acknowledge that failure to do so may result in expulsion from the Event, anyPublic Space, and/or detainment by a public safety officer.

By signing this Waiver, I acknowledge and agree that theEvent is associated with and occurs in multiple participating venues (“Participating Venues”). I further acknowledge that, due to the nature of the Event, I may enter or interact with venues that are not associated with or participating in the Event (“Non-Participating Venues”, and together with the Participating Venues, “Venues”). Each Venue may have its own Rules ("Venue Rules"). I am solely responsible for monitoring my own condition (including any impairment from alcohol), for the security of my property, and for arranging safe transportation to, from, and between Venues and Event activities, and I will immediately cease participation if I believe conditions are unsafe for me. I agree to comply with all Venue Rules and all staff instructions and directions and acknowledge that failure to do so may result in expulsion from the Event and/or any specific Venue without refund or compensation.

I further acknowledge that the Event Organizer is not responsible for the actions, omissions, or policies of any Public Space or Venue, including but not limited to any failure to adhere to its stated Rules or any changes to such Rules. I agree to indemnify and hold harmless the Event Parties from any Claims arising out of or in connection with my failure to comply with any Rules or Venue Rules or the actions, omissions, or policies of any PublicSpace or Venue.

I acknowledge and agree that the Event does not have exclusive access to any Public Space or Non-Participating Venue and may not have exclusive access to any Participating Venue. As such, I may encounter and interact with members of the public who are not participating in the Event. I agree to treat such non-participants with respect and courtesy during the Event and acknowledge that failure to do so may result in expulsion from the Event and/or any specific Venue without refund or compensation. I agree to indemnify and hold harmless the Event Parties from any Claims arising out of or in connection with my interaction with a non-participant.

Alcohol Consumption Policy

I acknowledge and agree to the following Alcohol ConsumptionPolicy as a condition of my participation in the Event

I am 21 years of age or older.
I shall comply with all Applicable Laws regarding alcohol consumption at all times during the Event.
I agree to consume alcohol responsibly and in moderation. The Event Organizer and all Venues reserve the right to refuse service of alcohol to any participant deemed to be intoxicated or posing a risk to themselves or others.
Under no circumstances shall I operate a vehicle or engage in any activities that require a high degree of alertness or physical coordination while under the influence of alcohol.
I understand that excessive or irresponsible consumption of alcohol may lead to immediate expulsion from the Event without refund or compensation.
I agree to indemnify and hold harmless the Event Parties from any and all Claims arising out of or in connection with my consumption of alcohol or any actions taken while under the influence of alcohol during the Event.

This Alcohol Consumption Policy is intended to ensure the safety and well-being of all participants and to promote a responsible and enjoyable Event experience. By participating in the Event, I expressly agree to adhere to this policy.

Governing Law

This Waiver shall be governed by and construed in accordance with the laws of the jurisdiction in which the Event takes place, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, this Waiver or the Event shall be instituted exclusively in the state or federal courts located in the State of New York, County of New York. Each Party hereby waives any and all objections to the exercise of jurisdiction over them by such courts and to venue in such courts.

Severability

If any provision of this Waiver, or its application to any person or circumstance, is held invalid, illegal, or unenforceable to any extent for any reason by any court of competent jurisdiction, such provision shall be deemed severable and the invalidity or unenforceability thereof shall not affect the validity and enforceability of the remaining provisions of this Waiver, which shall remain in full force and effect. Any invalid or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest to the intention of the parties as expressed in the original provision.

Acknowledgment of Understanding and Agreement

By selecting “I Accept”, I acknowledge that I have carefully read this Waiver, fully understand its contents, and voluntarily agree to its terms and conditions, and that I have had the opportunity to ask questions and to consult counsel if I have chosen to do so.
